	To be an authorized affiliate of WWW.GIFTCARDSPREAD.COM, you agree to abide by the terms and conditions contained in this agreement. Please read this agreement carefully before registering and using the WWW.GIFTCARDSPREAD.COM service as an affiliate. By signing up for the WWW.GIFTCARDSPREAD.COM affiliate program, you indicate your acceptance of this agreement and its terms and conditions. Discounted Gift Cards LLC (hereafter referred to as "we" "us" "our" or "DBA Gift Card Spread") is a company that distributes and markets gift cards though their website www.giftcardspread.com. Gift Card Spread's affiliates are required to comply/agree with all terms and policies. Affiliate must adhere to, understand, and insure that all guidelines are executed. We are independent parties and this agreement will not form any partnership. Affiliate may not encourage prospects and or customers to make any form of purchase to another entity other than those recommended by Discounted Gift Cards LLC/DBA Gift Card Spread. AGREEMENT DURATION This agreement will begin upon our acceptance of your affiliate application and will end when terminated by either party. Termination may happen at any time, with or without cause, by giving the other party written notice of termination. Gift Card Spread will pay the Affiliate(s) the Commission Rate on Qualifying Sales in effect under the provisions stated in " Other Agreements" . The total Affiliate Commission Rate issued is 2% of Gift Card Spread's price paid on Sales of gift cards, and 3.5% of gift cards sales made to us. Gift Card Spread will pay Commissions to Affiliate on a monthly basis. Payment by us will issue in the form of a check or other mutually agreed upon method of payment for Commissions earned on Qualifying Sales that were purchased during that month (less any taxes that Gift Card Spread is required by law to withhold). Affiliate agrees if Commissions payable to Affiliate for any calendar month are less than $25.00, Gift Card Spread reserves the right to hold said Commissions until the total amount if the Commissions due is at least $25.00 or ( if earlier) until this Agreement is terminated. If a Qualifying Sale, which is generated a Commission, is canceled by the customer, Gift Card Spread may deduct the corresponding amount from Affiliate(s) next monthly Commission payment. If there is no subsequent Commission payment, Gift Card Spread may invoice for the cancelled Commission amount. If Commissions payable to Affiliate for any month are less than $25, Gift Card Spread may review this Agreement and reserve the right to terminate this Agreement at Gift Card Spread’s sole discretion, at any time, upon notice to Affiliate. By signing below, the Affiliate acknowledges receipt of copies of this agreement and indicates that the Affiliate has read or has had the opportunity to read, this agreement (in full) and agrees to the terms and conditions as fully set out and agrees to comply with the terms and conditions set forth. WEBSITE RESTRICTIONS We reserve the right not to accept any site into out affiliate program based on site content. Sites that Do Not Qualify for the Gift card spread Affiliate Program include sites such as sites that are: X- rated and promote sexually explicit materials Promoting violence and discord. Promoting discrimination based on race, sex, religion, nationality, disability, sexual orientation, or age Promoting illegal or questionable activities Violating intellectual property rights DISCLAIMER We make no express or implied warranties or representations with respect to the Affiliate Program or your potential to earn income from the Gift Card Spread Affiliate Program. In addition, we make no representation that the operation of our site or the Affiliate Sites will be uninterrupted or error-free, and we will not be liable for the consequences of any interruptions or down time. This Agreement will be governed by the laws of the United States and State of Illinois, without reference to rules governing choice of laws. Any action relating to this Agreement must be brought in the Federal or State courts located in Chicago, Illinoi, and you irrevocably consent to the jurisdiction of such courts. You may not assign this Agreement, by operation of law or otherwise, without our prior written consent. Subject to that restriction, this Agreement will be binding on, inure to the benefit of, and enforceable against the parties and their respective successors and assigns. Our failure to enforce your strict performance of any provision of this Agreement will not constitute a waiver of our right to subsequently enforce such provision or any other provision of this Agreement. AFFILIATES ACKNOWLEDGES THAT HAS READ THIS AGREEMENT AND AGREES TO ALL ITS TERMS AND CONDITIONS CONTAINED HEREIN. AFFILIATE HAS INDEPENDENTLY EVALUATED THE DESIRABILITY OF PARTICIPATING IN THIS AGREEMENT AND IS NOT RELYING ON ANY REPRESENTATION, GUARANTEE, OR STATEMENT OTHER THAN AS SET FORTH IN THIS AGREEMENT.
